1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and CME Jobs Inc., operating as CME Jobs ("CME," "we," "us," or "our"), governing your access to and use of the CME Jobs platform (the "Platform"), including all related websites, applications, features, and services.
By creating an account or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Platform.
2. Eligibility
You must be at least 16 years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
3. Account Registration
To access most features of the Platform, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate accounts that contain false or misleading information, or that violate these Terms.
4. User Types and Roles
The Platform supports three primary user types:
- Job Seekers: Individuals seeking employment opportunities. Job seekers may create profiles, upload resumes and videos, apply to jobs, participate in the Talent Pool, and engage with community features.
- Employers: Companies and organizations posting job opportunities. Employers may post jobs, review applications, conduct the hiring pipeline, manage team members, and purchase premium services. Employer accounts may have multiple team members with varying permission levels.
- BIA Administrators: Representatives of Business Improvement Areas who manage district-level features, business directories, and local analytics.
5. Acceptable Use
You agree not to use the Platform to:
- Post false, misleading, or fraudulent job listings or profile information
- Discriminate against any person based on race, ethnicity, gender, age, religion, sexual orientation, disability, or any other characteristic protected by the Canadian Human Rights Act or applicable provincial law
- Harass, threaten, or intimidate other users
- Collect or harvest personal information of other users without their consent
- Circumvent, disable, or interfere with security features of the Platform
- Use automated scripts, bots, or scrapers to access the Platform without our written permission
- Post content that is defamatory, obscene, or promotes illegal activity
- Impersonate another person or entity
- Use the Platform for any purpose unrelated to employment, recruitment, or the services offered
- Attempt to manipulate SmartMatch scores, trust scores, ballots, or other Platform metrics
- Create multiple accounts to circumvent limits, bans, or subscription restrictions
- Share your account credentials with unauthorized third parties
6. Employer Obligations
Employers using the Platform agree to:
- Post Legitimate Jobs: All job postings must represent genuine, currently available positions. Fake, speculative, or expired postings are prohibited.
- Comply with Employment Laws: All hiring practices must comply with applicable federal, provincial, and municipal employment laws, including the Employment Standards Act, Ontario Human Rights Code, Pay Equity Act, and Accessibility for Ontarians with Disabilities Act (AODA).
- Bill 190 Compliance: Employers acknowledge that CME maintains compliance archives of hiring processes as required by Ontario's Working for Workers Act. Employers must not interfere with or attempt to alter sealed compliance records.
- Respond to Candidates: Employers are expected to provide timely responses to applicants. Persistent non-responsiveness ("ghosting") may result in trust score penalties and reduced platform visibility as part of our KindHire initiative.
- Honour Offers: Offers extended through the Platform are expected to be made in good faith. Employers must provide accurate salary, start date, and working conditions information.
- Respect Job Posting Lifecycle: Job postings have a defined lifecycle. Employers must close or fill positions in a timely manner. Jobs that exceed the active period may be automatically closed by the system.
7. Job Seeker Obligations
Job seekers using the Platform agree to:
- Provide Accurate Information: All profile information, resumes, work history, skills, and credentials must be truthful and accurate. Misrepresentation may result in account suspension and trust score penalties.
- Honour Commitments: If you accept an interview or offer, you are expected to follow through or provide timely notice of cancellation. Repeated no-shows may result in trust score penalties.
- Respect Application Limits: Application slots are limited based on your subscription tier. Do not attempt to circumvent these limits.
- Appropriate Video Content: All video content (resumes, boost responses, references) must be professional, relevant to employment, and free of inappropriate, offensive, or illegal content.
8. Content and Intellectual Property
8.1 Your Content
You retain ownership of all content you submit to the Platform, including your profile information, resumes, videos, and communications. By submitting content, you grant CME a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content solely for the purpose of operating and providing the Platform services (e.g., showing your profile to employers, displaying your CME Clip to hiring teams).
This license terminates when you delete your content or your account, except where the content is part of a sealed compliance archive (see Section 6, Bill 190 Compliance).
8.2 Platform Content
The Platform, including its design, features, SmartMatch algorithm, trust scoring systems, analytics, and all associated intellectual property, is owned by CME Jobs Inc. You may not copy, modify, distribute, sell, or create derivative works based on the Platform or its proprietary systems without our express written permission.
9. Subscriptions, Payments, and Credits
- Subscription Tiers: The Platform offers free and paid subscription tiers for both job seekers and employers. Feature access, application limits, and other capabilities vary by tier. Current pricing and features are available on our Pricing page.
- Payments: All payments are processed by Stripe, Inc. By making a purchase, you agree to Stripe's terms of service. Prices are in Canadian dollars (CAD) unless otherwise stated.
- CME Credits: Credits purchased on the Platform (1 credit = $1 CAD) may be used for GeoAds, boosts, and other Platform services. Credits are non-transferable and non-refundable except as required by applicable law.
- Founding Member Pricing: Founding members may receive discounted pricing as part of limited-time promotional offers. These discounts are subject to the terms disclosed at the time of purchase and may not be combined with other offers.
- Refunds: Subscription fees are generally non-refundable. If you believe you are entitled to a refund due to a billing error or service issue, please contact us at info@cmejobs.com within 14 days of the charge.
- Automatic Renewal: Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through your account settings.
10. Trust, Reputation, and Penalties
CME operates a trust and reputation system designed to promote fair, responsive, and transparent hiring practices. You acknowledge and agree to the following:
- Trust Scores: Users earn trust scores based on platform behaviour including responsiveness, reliability, profile completeness, and community participation. Trust scores are visible to other users and may affect Platform features (e.g., search ranking, badge eligibility).
- Badges: Badges are awarded based on objective criteria (e.g., completing a certain number of hires, maintaining response rates). Badges may be revoked if the underlying criteria are no longer met.
- Penalties: The Platform may apply trust score penalties for behaviours such as interview no-shows, ghosting candidates, late cancellations, or repeated missed boost responses. Penalties are applied according to published rules and may be appealed by contacting support.
- SmartMatch Scores: SmartMatch scores are algorithmically generated. CME does not guarantee the accuracy of match scores and they should not be the sole basis for any hiring decision. See our Privacy Policy Section 5 for details on how SmartMatch works.
11. GeoAds (Location-Based Advertising)
GeoAds are location-based advertisement slots available for purchase by employers and businesses. By purchasing GeoAds, you agree that:
- All ad content must comply with our acceptable use policy and applicable advertising laws
- CME reserves the right to review, approve, reject, or remove any GeoAd at our discretion
- Ad placement and visibility are subject to inventory availability and may vary by district and time period
- Pricing may vary based on location, demand, and special events (such as World Cup pricing periods)
- Performance metrics (impressions, clicks) are provided as estimates and are not guaranteed
12. Community Features
The Platform includes community features such as ballots, contests, referral programs, and The Village founding members program. Participation in these features is voluntary and subject to the specific rules disclosed for each program. CME reserves the right to modify, suspend, or discontinue any community feature at any time.
Contest entries earned through the ballot system have no cash value and cannot be transferred or exchanged. Contest winners are determined according to the rules of each individual contest.
13. Disclaimers
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Without limiting the foregoing, CME does not warrant or guarantee that:
- The Platform will be uninterrupted, secure, or error-free
- Any job listing represents a genuine or available position (though we make reasonable efforts to ensure this)
- Any user's profile information is accurate or truthful
- SmartMatch scores will accurately predict hiring outcomes
- Use of the Platform will result in employment or successful hiring
CME is not an employer, staffing agency, or recruiter. We provide a technology platform that facilitates connections between job seekers and employers. All hiring decisions are made independently by employers, and all employment relationships are between the employer and the job seeker. CME is not a party to any employment contract.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CME JOBS INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) the Platform
- Any conduct or content of any third party on the Platform, including employers, job seekers, or BIA administrators
- Any hiring decision or employment outcome
- Unauthorized access, use, or alteration of your transmissions or content
- Any errors, inaccuracies, or omissions in SmartMatch scores, trust scores, or analytics
Our total aggregate liability for all claims arising from or related to the Platform shall not exceed the greater of (a) the amount you paid to CME in the twelve (12) months preceding the claim, or (b) one hundred Canadian dollars ($100 CAD).
15. Indemnification
You agree to indemnify, defend, and hold harmless CME Jobs Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any content you submit to the Platform.
16. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:
- Your right to use the Platform will immediately cease
- We may delete your account data, subject to legal retention requirements (see Privacy Policy, Section 7)
- Provisions that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitation of liability, and indemnification
You may delete your account at any time through your account settings or by contacting us.
17. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising from these Terms or your use of the Platform shall be resolved through good-faith negotiation. If the dispute cannot be resolved informally within 30 days, either party may submit the dispute to binding arbitration in accordance with the rules of the ADR Institute of Ontario, or pursue the matter in the courts of the Province of Ontario, which shall have exclusive jurisdiction.
Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm.
18. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Platform, constitute the entire agreement between you and CME Jobs Lab Inc. regarding the Platform and supersede all prior agreements and understandings.
20. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a revised "Last updated" date and, for significant changes, by notifying you via email or through the Platform. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.
